Agreement to these terms

These Terms of Use (the “Terms”) govern your access to and use of the website at cooperative.io (the “Site”), operated by Cooperative.io (“Cooperative”, “we”, “us” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Our Privacy Policy explains how we handle information about you and forms part of these Terms.

About the Site

The Site describes Cooperative and the companies we build, and publishes our Notes. It is provided for general information. The Site has no accounts, and nothing is sold through it.

Our portfolio companies

The products and services of the companies in our portfolio are offered through their own websites and are governed by the terms and policies published there. These Terms apply to cooperative.io only.

No offer and no advice

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or other investment. The Invest link is only an invitation to contact us. Any investment would be made only through definitive written agreements and in compliance with applicable law.

Our Notes and other content share our views and general information. They are not legal, financial, tax, investment or other professional advice, and you should not rely on them as such. Statements about our plans reflect our current intentions and may change.

Intellectual property

The Site and its content, including text, design, graphics, the Cooperative name and logo, and code, are owned by Cooperative or its licensors and are protected by intellectual property laws. Names and logos of our portfolio companies belong to their respective owners.

We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to view the Site and to share links to it. You may quote short passages of our Notes with attribution and a link to the original. Any other use, including copying, modifying, distributing or creating derivative works from the Site or its content, requires our prior written permission.

Acceptable use

You agree not to:

• use the Site in any way that breaks the law or infringes the rights of others;
• attempt to gain unauthorised access to the Site, its systems or its data, or to interfere with or disrupt the Site;
• use automated means to access the Site in a way that places an unreasonable load on it;
• misrepresent your identity or any affiliation with Cooperative or our portfolio companies.

Messages and ideas you send us

When you write to us, including with a proposal, a problem you would like us to solve, an investment enquiry or a job application, you confirm that you have the right to share what you send and that it is accurate to the best of your knowledge.

Please do not send us confidential or proprietary information unless we have first agreed in writing to receive it. Unless we have signed an agreement with you, we have no obligation to keep unsolicited ideas or materials confidential, to respond to them or to compensate you for them. We may already be developing, or may later develop, products, services or companies similar to what you send us, and we remain free to do so. Contacting us does not create a partnership, employment or other relationship between us.

Links to other sites

The Site links to websites we do not control, including those of our portfolio companies and social networks. We are not responsible for their content, policies or practices, and your use of them is governed by their own terms.

Changes to the Site

We may change, suspend or discontinue any part of the Site at any time without notice.

Disclaimers

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the Site will be uninterrupted, secure or free of errors.

Limitation of liability

To the fullest extent permitted by law, Cooperative and its owners, officers, employees and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising out of or relating to the Site or these Terms, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain of these limitations, so they apply to you only to the extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Cooperative and its owners, officers, employees and affiliates from any claims, losses and expenses, including reasonable legal fees, arising out of your misuse of the Site or your breach of these Terms.

Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in New York County, New York, and you and we consent to the personal jurisdiction of those courts.

Changes to these terms

We may update these Terms from time to time. When we do, we will change the date at the top of this page. Your continued use of the Site after an update means you accept the updated Terms.

General

These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Site. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. We may assign these Terms; you may not assign them without our written consent.
